1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "Merchant", or "You") and SoPayment B.V. ("SoPayment", "We", "Us", or "Our"), a Dutch limited liability company registered in Amsterdam, Netherlands.
By accessing, registering for, or using SoPayment services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.
These Terms apply to all users of SoPayment services, including visitors, registered users, merchants, and business customers.
2. Definitions
For the purposes of these Terms:
- "Payment Services" means the electronic payment processing, money transmission, and related financial services provided by SoPayment
- "Account" means your SoPayment user account used to access our services
- "Transaction" means any payment instruction or money transfer processed through our platform
- "Merchant" means a business entity that accepts payments through SoPayment services
- "Consumer" means an individual using SoPayment services for personal, non-commercial purposes
- "API" means Application Programming Interface provided by SoPayment for integration purposes
- "Dashboard" means the web-based interface for managing your SoPayment account
- "Regulatory Authority" means De Nederlandsche Bank (DNB) and other relevant financial supervisory authorities
3. Eligibility & Account Creation
3.1 Eligibility Requirements
To use SoPayment services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Be a resident of or have a business established in the European Union
- Have legal capacity to enter into binding contracts
- Provide accurate, complete, and current information during registration
- Maintain and update your account information as required
3.2 Account Verification
SoPayment is required by law to verify the identity of our users. You agree to:
- Provide valid identification documents as requested
- Submit to background checks and compliance screenings
- Allow us to verify information with third-party services
- Respond promptly to requests for additional documentation
3.3 Business Accounts
Business accounts require additional verification including:
- Valid business registration documents
- Proof of authorized signatory status
- Business bank account verification
- Beneficial ownership disclosure (if applicable)
4. Description of Services
4.1 Payment Processing Services
SoPayment provides electronic payment processing services including:
- Credit and debit card processing
- Bank transfers and SEPA payments
- Digital wallet integrations
- Recurring payment management
- Multi-currency transaction processing
- Real-time payment notifications and reporting
4.2 Technical Services
We provide technical integration tools including:
- RESTful API for payment processing
- Webhook notifications for transaction updates
- Pre-built integrations with popular platforms
- SDKs and libraries for various programming languages
- Testing environment (sandbox) for development
4.3 Service Availability
While we strive for 99.9% uptime, SoPayment does not guarantee uninterrupted service availability. Scheduled maintenance will be announced in advance when possible.
5. Fees and Charges
5.1 Transaction Fees
SoPayment charges fees for successful transactions based on the payment method and transaction volume:

5.2 Additional Fees
- Chargeback Fee: €15.00 per chargeback case
- Failed Transaction Fee: €0.10 per failed payment attempt
- Refund Processing: No additional fee (original processing fee retained)
- Currency Conversion: 1.5% markup on interbank rates
- Account Inactivity: €5.00 monthly after 12 months of inactivity
5.3 Fee Changes
SoPayment reserves the right to modify fees with 60 days written notice. Continued use of services after notice constitutes acceptance of new fees.
6. Prohibited Activities

Violation of prohibited activities may result in immediate account suspension or termination without notice.
6.1 Prohibited Business Types
SoPayment services may not be used for:
- Adult content, pornography, or escort services
- Gambling, betting, or lottery services (unless properly licensed)
- Illegal drugs, drug paraphernalia, or controlled substances
- Weapons, ammunition, or explosive materials
- Money laundering or unlicensed money transmission
- Pyramid schemes, MLM, or get-rich-quick schemes
- Counterfeit goods or intellectual property infringement
- High-risk investments or unregulated financial products
6.2 Prohibited Activities
Users are prohibited from:
- Processing payments for third parties without proper authorization
- Creating multiple accounts to circumvent limits or restrictions
- Attempting to reverse engineer, hack, or compromise our systems
- Using our services to facilitate fraud or financial crimes
- Providing false or misleading information to customers or SoPayment
- Processing transactions outside your declared business model
- Storing payment credentials without PCI DSS compliance
7. Compliance & Legal Obligations
7.1 Regulatory Compliance
SoPayment operates under the supervision of De Nederlandsche Bank (DNB) and complies with:
- Payment Services Directive 2 (PSD2)
- Anti-Money Laundering (AML) regulations
- General Data Protection Regulation (GDPR)
- Know Your Customer (KYC) requirements
- Consumer protection laws
7.2 Merchant Obligations
Merchants using SoPayment services must:
- Clearly display terms of sale and refund policies
- Provide accurate transaction descriptions
- Honor customer refund and dispute requests
- Maintain PCI DSS compliance for card data handling
- Report suspicious activity or potential fraud
- Comply with applicable consumer protection laws
7.3 Reporting and Monitoring
SoPayment reserves the right to:
- Monitor transactions for fraud and compliance
- Request additional information about your business
- Report suspicious activities to authorities
- Implement transaction limits or restrictions
- Conduct periodic account reviews
8. Limitation of Liability
8.1 Service Disclaimers
SoPayment services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
8.2 Limitation of Liability
To the maximum extent permitted by law, SoPayment's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Third-party actions or decisions
- Force majeure events beyond our control
- Merchant disputes with customers
- Technical issues with third-party services
8.3 Indemnification
You agree to indemnify and hold SoPayment harmless from claims arising from:
- Your violation of these Terms
- Your business operations or customer relationships
- Misuse of SoPayment services
- Breach of applicable laws or regulations
9. Account Termination
9.1 Termination by User
You may terminate your account at any time by:
- Contacting customer support
- Completing all pending transactions
- Settling outstanding fees or obligations
- Following our account closure procedures
9.2 Termination by SoPayment
We may suspend or terminate accounts for:
- Violation of these Terms
- Suspected fraud or illegal activity
- Excessive chargebacks or disputes
- Failure to complete verification requirements
- Extended account inactivity
- Changes in business risk profile
9.3 Effects of Termination
Upon termination:
- Access to SoPayment services will be revoked
- Pending transactions will be processed or cancelled
- Final settlement will occur within 30 days
- Data retention will follow our Privacy Policy
- Obligations under these Terms survive termination
10. Dispute Resolution
10.1 Internal Dispute Resolution
For disputes with SoPayment:
- Contact customer support at legal@sopayment.eu
- Provide detailed information about the dispute
- We will investigate and respond within 15 business days
- Escalation to management if initial resolution unsatisfactory

These Terms are governed by Dutch law. Any legal proceedings must be initiated in the competent courts of Amsterdam, Netherlands.
11. Changes to Terms
11.1 Modification Process
SoPayment may modify these Terms by:
- Providing 30 days advance notice via email
- Posting updated Terms on our website
- Highlighting material changes in notifications
- Allowing time for account closure if disagreed
11.2 Acceptance of Changes
Continued use of SoPayment services after the effective date constitutes acceptance of modified Terms. If you disagree with changes, you must terminate your account before the effective date.
12. Additional Provisions
12.1 Force Majeure
SoPayment is not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other force majeure events.
12.2 Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions continue in full force and effect.
12.3 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision of these Terms.
12.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. SoPayment may assign these Terms in connection with a merger, acquisition, or sale of assets.
